Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client", "you") and Namitri Technologies ("we", "us", "our"), a creative digital agency based in Pune, Maharashtra, India, governing your use of our website and any services we provide.

By accessing our website or engaging our services, you confirm that you have read, understood, and agree to be bound by these Terms. These Terms are enforceable under the Indian Contract Act, 1872 and the Information Technology Act, 2000.

1. Services

Namitri Technologies provides creative and digital services including, but not limited to:

• Brand identity design and strategy
• Website design and development
• Mobile application design
• Digital marketing and SEO
• Social media management and content creation
• E-commerce solutions

The specific scope, timeline, deliverables, and fees for any engagement are defined in a separate Statement of Work (SOW) or Project Proposal agreed upon in writing between both parties.

2. Acceptance and Engagement

An engagement begins when:

• You sign and return a proposal, SOW, or contract issued by us; or
• You make an advance payment as requested in our proposal; or
• You provide written confirmation (email) authorising us to commence work.

All engagements are subject to availability. We reserve the right to decline any project at our sole discretion.

3. Payment Terms

• Payment schedules are specified in each project proposal. Typically: 50% advance before commencement, remaining upon delivery.
• Invoices are payable within 7 days of the invoice date unless otherwise agreed in writing.
• Late payments attract interest at 1.5% per month on the outstanding amount.
• All prices are quoted in Indian Rupees (INR) and are exclusive of applicable GST unless stated otherwise.
• We reserve the right to pause or terminate work on any project with outstanding unpaid invoices.

4. Revisions and Change Requests

• Each project proposal specifies the number of revision rounds included.
• Revisions beyond the agreed scope will be quoted and billed separately.
• Changes to the project scope ("scope creep") that materially alter the deliverables will require a revised proposal and may affect the timeline and cost.

5. Client Responsibilities

To enable us to deliver on time and to standard, you agree to:

• Provide all required content, assets, and information in a timely manner
• Designate a primary point of contact with authority to approve deliverables
• Review and provide feedback within the timeframes specified in the project timeline
• Ensure all materials you provide to us are owned by you or properly licensed
• Not share project files, source code, or design assets with third parties without our written consent during the project

Project delays caused by delayed client feedback or missing assets may result in revised timelines and additional costs.

6. Intellectual Property Rights

6.1 Final deliverables

Upon receipt of full and final payment, all intellectual property rights in the final agreed deliverables (designs, website code, creative assets) transfer to you.

6.2 Working files and source files

Source files (Figma files, PSD files, raw code repositories) remain the property of Namitri Technologies unless their transfer is explicitly agreed upon and specified in the project proposal. Transfer of source files, if agreed, may attract an additional fee.

6.3 Our rights

We retain the right to display completed work in our portfolio, website, social media, and marketing materials, unless you request otherwise in writing before project commencement.

6.4 Third-party assets

Stock imagery, fonts, icons, or third-party plugins incorporated into deliverables are subject to their respective licences. You are responsible for maintaining any ongoing licences required after project handover.

7. Confidentiality

Both parties agree to keep confidential all proprietary or sensitive information disclosed during the engagement. This obligation survives the termination of this agreement for a period of 2 years. Confidentiality does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

8. Cancellation and Termination

• Either party may terminate the engagement with 14 days' written notice.
• Upon termination, you are liable to pay for all work completed up to the termination date at our standard rates.
• Advance payments are non-refundable for work already commenced.
• We will deliver all completed work to you upon receipt of final payment for work done.

9. Warranties and Representations

We warrant that:

• Services will be delivered with reasonable care and skill
• Deliverables will substantially conform to the agreed specifications
• We have the right to enter into this agreement and provide the services described

You warrant that:

• You have full authority to enter into this agreement
• All materials and content you provide do not infringe any third-party intellectual property, privacy, or other rights
• You will use our deliverables in compliance with all applicable laws

10. Limitation of Liability

To the maximum extent permitted by applicable law:

• Our total aggregate liability for any claim arising from or related to our services shall not exceed the total fees paid by you for the specific project giving rise to the claim.
• We are not liable for any indirect, incidental, consequential, or punitive damages, including loss of profits, loss of data, or loss of business opportunity.
• We are not liable for delays or failures caused by circumstances beyond our reasonable control (force majeure).

11. Indemnification

You agree to indemnify, defend, and hold harmless Namitri Technologies and its team members from and against any claims, liabilities, damages, and expenses (including reasonable legal fees) arising from: (a) your breach of these Terms; (b) materials or content you provided; or (c) your use of our deliverables in violation of applicable law.

12. Website Use

You agree not to:

• Use our website for any unlawful purpose or in any way that violates these Terms
• Attempt to gain unauthorised access to any part of our website or its systems
• Transmit any harmful, defamatory, or infringing content through our contact forms
• Use automated tools to scrape or harvest data from our website

13. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Republic of India.

In the event of a dispute, the parties shall first attempt to resolve it through good-faith negotiation. If unresolved within 30 days, disputes shall be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996, conducted in Pune, Maharashtra, in the English language.

The courts of Pune, Maharashtra shall have exclusive jurisdiction over any matters not referred to arbitration.

14. Amendments

We reserve the right to update these Terms at any time. Material changes will be communicated via our website. Continued use of our services after updates constitutes acceptance of the revised Terms.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
